These Terms & Conditions (“Terms”) govern your access to and use of The Zen Lounge website, products, and services provided by Vikram & Company (“we,” “us,” “our”). By using our website or purchasing our products/services, you agree to these Terms.

2. Scope of Services

  • • We design, manufacture, and sell furniture and related services, including custom furniture and modifications.
  • • Information on the website (dimensions, finishes, images) is for guidance and may vary slightly due to material characteristics and handcrafted processes.

3. Orders and Custom Projects

  • • Quotation validity: Quotes are typically valid for 15 days unless stated otherwise.
  • • Confirmation: Orders are accepted once written confirmation and the required advance payment are received.
  • • Specifications: Customers are responsible for verifying measurements, finishes, and specifications before approval.
  • • Changes: Post-approval changes may affect price and timelines and must be agreed in writing.
  • • Lead time: Estimated timelines are provided at order confirmation and may vary due to material availability and production capacity.

4. Pricing, Taxes, and Payments

  • • Prices are in INR unless stated otherwise and may exclude applicable taxes, delivery, and installation charges.
  • • Payment terms: 50% advance, balance 50% before dispatch.
  • • Late payments may delay delivery; interest/fees may apply as per applicable law or stated invoice terms.
  • • We reserve the right to correct pricing errors and cancel orders affected by such errors.

5. Delivery, Installation, and Access

  • • Delivery charges are quoted based on location and access conditions.
  • • Access: The customer must ensure clear and safe access for delivery and installation (doorways, lifts, staircases). Additional handling costs may apply.
  • • Risk: Risk transfers on delivery; title transfers upon full payment.
  • • Missed appointments: Re-delivery/re-installation charges may apply if no one is available to receive the order during scheduled slots.

6. Returns, Cancellations, and Refunds

  • • No returns or refunds: We do not accept returns or provide refunds on any purchases.
  • • Exchange policy (ready products only):
    • - Eligibility: Exchanges may be permitted for ready products at the sole discretion of our showroom team.
    • - Price parity: The replacement item must be of equal or lower value than the original item's invoice price. If a higher-priced item is selected (if permitted), the price difference must be paid. No refunds are issued for lower-priced selections.
    • - Condition: Items must be unused, undamaged, and in saleable condition with original packaging, tags, and invoice.
    • - Availability: Exchanges are subject to in-store availability at the time of request.
    • - Time window: Exchange requests must be made within 5 days of delivery/collection.
    • - Logistics: Any transportation or handling charges for exchange are borne by the customer.
    • - Final decision: All exchange approvals are strictly at the discretion of the showroom and may be declined without reason.
  • • Custom Products:
    • - Custom or made-to-order items are not eligible for exchange, return, or refund.
    • - Manufacturing defects, if any, will be addressed under the applicable warranty terms only.
  • • Cancellations:
    • - Ready products: Cancellation requests (before dispatch) may be considered at the showroom's discretion. Once dispatched or delivered, cancellation is not possible.
    • - Custom orders: Non-cancellable once production begins due to their bespoke nature.
  • • Refunds:
    • - We do not issue refunds. Where a cancellation (before dispatch) is exceptionally approved, any refund terms (if applicable) will be communicated in writing and may be subject to administrative deductions.

7. Warranty and After-Sales Support

Coverage Scope

  • • In-house manufactured furniture: We provide a limited warranty against manufacturing defects covering structural integrity (frame, joints, primary load‑bearing elements) for 12 months from the date of delivery.
  • • Third‑party/traded products: No warranty is offered by us on items not manufactured by The Zen Lounge/Vikram & Company. Such products, if any warranty applies, will be subject solely to the original manufacturer’s warranty terms and process.

Documentation and disclosure

  • • We do not list or endorse warranty terms on invoices or other sales documents. The above policy applies irrespective of invoice annotations.

Exclusions

  • • Breakable/fragile components: No warranty on glass, mirrors, stone, ceramics, or similar fragile parts.
  • • Finishes and cosmetics: Paint/polish/finish wear, peeling, chipping, fading, stains, veneer/laminate issues, and normal surface wear are excluded.
  • • Upholstery and soft parts: Fabric/leather/vinyl wear, pilling, color variation, softening/settling of foam/fill, and thread pulls are not covered.
  • • Natural variations: Grain, color, texture variations inherent to natural materials (wood, stone, leather) are not defects.
  • • Usage/handling: Damage due to improper use, overloading, impact, dragging, exposure to moisture/heat/sunlight/chemicals, or outdoor use (unless specified) is excluded.
  • • Assembly/repairs: Incorrect assembly, unauthorized repairs/modifications, or non‑recommended maintenance voids coverage.
  • • Transit/installation after sign‑off: Any damage after delivery sign‑off or due to third‑party moving/installation is excluded.

Remedies for covered items (in‑house only)

  • • At our discretion, we may repair, replace the affected part, or offer a reasonable remedy. Remedies do not include refunds or upgrades.
  • • If identical materials/finishes are unavailable, a closest‑match solution may be offered.

Claims process (in‑house only)

  • • Email vikram@thezenlounge.in with invoice details, clear photos/videos, and a description of the issue within the 12‑month period.
  • • Site inspection may be required. If the issue is not covered, a service visit fee and parts/labour charges may apply.

Limitations

  • • Warranty is non‑transferable and valid for the original purchaser at the original installation location.
  • • Routine maintenance (e.g., tightening hardware, re‑leveling) is the customer’s responsibility.
  • • Repairs/replacements do not extend the original 12‑month warranty period.

8. Materials and Variations

  • • Natural materials (wood, stone, leather, fabric) may have inherent variations; such differences are not defects.
  • • Finishes shown on the website or samples are indicative; final pieces may vary due to batch differences and hand finishes.

9. User Conduct and Website Use

  • • You agree not to misuse the website, attempt unauthorized access, scrape data, or interfere with site functionality.
  • • Content (text, images, designs) is owned by us or licensed; do not copy, reproduce, or distribute without permission.

10. Intellectual Property

Subject to applicable law, you may have rights to:

  • • All trademarks, logos, product designs, photographs, and content on the site are our intellectual property or used under license.
  • • No license or rights are granted to you except as necessary to use the website for its intended purpose.

13. Limitation of Liability

  • • To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages.
  • • Our total liability for any claim related to a product or service is limited to the amount you paid for that product or service.
  • • Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot be excluded by law.

14. Indemnity

You agree to indemnify and hold us harmless from claims, losses, damages, costs, or liabilities arising from your misuse of the website or breach of these Terms.

15. Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to supply chain disruptions, strikes, acts of God, or government actions.

16. Governing Law and Dispute Resolution

  • • These Terms are governed by the laws of India.
  • • Jurisdiction: Courts in New Delhi, India, shall have exclusive jurisdiction over any disputes, subject to applicable mandatory laws.
  • • We encourage amicable resolution and customer support dialogue before formal proceedings.

  • • We may update these Terms from time to time. The “Last updated” date will reflect the current version.
  • • Continued use of the website or services after changes constitutes acceptance of the updated Terms.
